General Provisions
  1. Union "Article 42 of the Constitution" (hereinafter referred to as "Union") is a voluntary, human rights protection organization
  2. Union acts due to the Constitution of Georgia, legislation of Georgia and its own charter.
  3. Union is a legal body, with separate property and account (including bank account), round seal, emblem and other symbolic.
  4. Juridical address of the Union is Kostava Street #6, III Floor, 380008, Tbilisi, Georgia. Tel: (995 32) 99 65 93; 93 53 22
  5. Union acts on the territory as well as outside the territory of Georgia and abroad.
Goals and Objectives f The Organization
  1. Protection of the rights defined by the article 42 of the Constitution of Georgia.
  2. Participation in the formation of mechanisms for the realization of rights defined by the article 42.
  3. Endowment of principles of Human Rights Protection in Georgia defined by the international treaties and other documentation.
  4. Endowment of principle of supremacy of law.
  5. Assistance to the human rights protection agencies, as well as promotion of activities to increase prestige and qualification of advocates.
  6. Completion of system of justice.
  7. Consideration and implementation of the experience of other countries as well as international practice in the field of human rights.
  8. Establishment of the sense of judicial culture and legality in Georgia.
  9. Scientific and educational activities.
  10. Formation of independent and competent public idea on human rights.
  11. Publishing, club and other activities.
The Forms of Activity of the Union
  1. To accomplish its goals the Union:
  2. Arranges meeting, conferences, seminars, discussions etc.
  3. Creates Human Rights Protection Center.
  4. Cooperates with human rights protection organizations, including lawyer's professional unions in Georgia as well as abroad.
  5. Assists the members of the Union to solve scientific, educational and social problems.
  6. Conducts publishing and translating activities
  7. Releases appropriate legal and other type of information and literature.
  8. Creates regional organizations, branches, and field offices.
  9. Conducts other activities not prohibited by the law.

Members; Their duties and responsibilities
  • Any person is eligible for membership if he/she complies with the goals and objectives of the Union and implements charter
         requirements. Potential members have to submit application forms.
    1. The Board of the Union makes the decision on membership. The members of the Union have right to:
      • Elect and be elected to the Union's bodies .
      • Receive information related to the activities of the Union .
      • Have an access to financial and other type of documentation.
      • Participate in the discussion related to the activities of the Union.
      • Take advantage of the information available at the Union's office.
      • Participate in the programs, projects and other type of activities of the Union .
      • Leave the Union .

    2. Members of the Union are obliged to:
      • Pay membership fee
      • Realize the charter requirements of the Union
      • Defend the prestige and the property of the Union.

  • Members; Their duties and responsibilities
    1. The highest governing body of the Union is the General Assembly, which is responsible to:
      • Adopt the charter and make amendments
      • Define the main directions of Union's activities
      • Define the number of the Board members and their election to the Board
      • Approve the report of the Board
      • Approve the budget of the Union
      • Make the decision on creating the Council of Advisors
      • Expel the member from the Union


    2. Every member of the Union has the right to participate in General Assembly meetings
    3. The General Assembly is valid if attended by more than a half of members
    4. The decisions are made by secret ballot, by simple majority of votes.
    5. The General Assembly is held once a year.
    6. Extraordinary Meeting is convened:
    7. by the Chairperson's own initiative
    8. at the Board's request;
    9. The Chairperson of the Board together with the Executive Director supervises the Union.
    1. The Chairperson of the Board:
      • Manages Union's activity
      • Submits reports to the General Assembly regarding Union's activity.
      • Presents the main directions of the Union's activity to the General Assembly for approval.
      • Conducts the current management of funds and stock
      • Leads the activities of the Union
      • Approves the apparatus of the Union
    1. Executive Director:
      • Acts on behalf of the Union in compliance with the Board and represents the Union in the terms with other persons
      • Submits repots to the Board regarding his/her work within the Union
      • Signs the accounting documents of the Union
      • Conducts the current management of funds and stock and is responsible for their proper use
      • Forms the apparatus of the Union and conducts its work
      • Signs contracts on behalf of the Union


    2. During the General Assembly meeting, the Board conducts Union's activity.
    3. Members of the Board are Mr. Roland Asakashvili, Mr. Malkhaz Pataria, Ms. Rusudan Gabodze, and Mr. Nick Arsenishvili.
    4. The Board meeting is called by the initiative of Chairperson or at request of 1/3 of Board members.
    5. The Board is valid if attended by more than half of its members. The majority of attended members make the decision.
    6. The Board is valid until a new Board is elected
    1. The Board
      • Is elected for the term of one year
      • Appoints the executive Director
      • Approves programs, projects, etc, creates sections, groups and commissions, appoints group leaders and coordinators


    2. Organizes the General Assembly meeting
    3. takes on and releases staff members and determines the payroll
    4. Defines the composition of Council of Advisors and its work
    5. Terminates rights and responsibilities of the members
    6. Reviews other issues not in the competence of the General Assembly
    Assets And Finance
    1. The Union's assets are formed by general funds, essential for the implementation of activities defined in the charter, working capital and other fixed in the balance of the Union.
    1. The Union's property is formed from:
      • Grants and contributions
      • Incomes received from the enterprises created with the support of the Union
      • Other legal sources

    2. The amount of membership fee is defined by the Board
    3. The Union has the right to manage its economic management in compliance with existing legal framework
    4. Income received from the Union's economic management shall not be divided among the members of the Union and will be directed towards implementing goals and objectives defined in the charter.

    Termination of Activity
    1. The Union is liquidated:
      • by the decision of the General Assembly
      • By the court decision in the cases provided by the law.
    2. Upon liquidation the liquidating commission under the procedure established by the applicable law shall distribute the Union's
           assets.
